John D. Mackewich's practice focuses on general corporate and business law, private and public securities offerings, venture capital financing, mergers and acquisitions, domestic and international corporate transactions, and renewable energy law, with an emphasis on:

• General corporate representation, including corporate formation matters, contracts, mergers, acquisitions and sales, and corporate governance issues.
• Corporate financing, including private and public offerings of equity and debt securities.
• Venture capital, angel investor, and strategic partner financings.  Preparation of private placement memoranda; negotiation of venture capital financing and bank financing.
• Public company securities compliance, including SEC periodic reporting, proxy materials, registration issues, public disclosure issues and corporate governance.
• Corporate formation and compliance issues for emerging domestic and international business.
• Oversight and advice on international business operations and transactions in the Asia-Pacific region as well as in the European Union and Eastern Europe.

Experience

John graduated from the University of Toledo Law School (J.D., 2005) and Wayne State University (B.S., Finance, 2001). Prior to joining Niehaus & Associates, Ltd., he served as a judicial extern to the Honorable Justice Elizabeth A. Weaver of the Michigan Supreme Court and as a law clerk to the Honorable Chief Circuit Court Judge William F. LaVoy of the 38th Judicial Circuit Court of Michigan.

John is admitted to practice in Michigan and Ohio.  He is a member of the Toledo Bar Association, the Ohio Bar Association, and the Michigan Bar Association.  He also serves on the Board of Directors for the BeInstrumental Foundation.
